A blank check company formed under the laws of the State of Delaware on April 26, 2022. We were formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. Although there is no restriction or limitation on what industry our target operates in, it is our intention to focus our efforts on identifying empty or under-performing office properties located in major metropolitan areas that can be transformed into mixed use developments that include apartments, offices and retail establishments, including restaurants, where one can live, work and play, incorporating efficient green technology. To date, our efforts have been limited to organizational activities and activities related to this offering. We have not identified any potential business combination target, and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential business combination target.
