A newly organized blank check company incorporated in January 2021 as a Delaware corporation and formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. However, members of our management team have been actively in discussions with potential business combination partners in their capacity as officers of Lionheart Acquisition Corporation II, or Lionheart II, an existing blank check company sponsored by Lionheart Equities, LLC, our sponsor, and we may pursue business combination partners that had previously been in discussions with Lionheart II.
