We are a newly organized blank check company incorporated in March 2024 as an
exempted company under the laws of the Cayman Islands and were formed for the
purpose of effecting a merger, consolidation, capital stock exchange, share
exchange, asset acquisition, share purchase, stock purchase, reorganization or
similar business combination with one or more businesses. We have not selected
any business combination target and we have not, nor has anyone on our behalf,
initiated any substantive discussions, directly or indirectly, with respect to
identifying any business combination target.
