A newly organized blank check company incorporated as a Cayman Islands exempted company and incorporated for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not identified any potential business combination partners and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential business partner. While we may ultimately pursue a different acquisition opportunity, we currently intend to focus our partner selection efforts on companies that provide environmental, business and/or infrastructure products and services that will contribute to a more sustainable future consistent with today’s “ESG” principles.
